Terms of Service

1. Acceptance

By accessing or using the Kern platform, you agree to these Terms. If you are using Kern on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Service

Kern provides a multi-tenant HR management platform (the Service) including employee management, time tracking, payroll export, recruiting, and workflow automation. Features depend on your subscription tier (BASIC, STANDARD, PREMIUM).

3. Account & Tenant

• You are responsible for all activity that occurs under your tenant.
• You must provide accurate registration information.
• You must not share login credentials.
• You must notify us immediately of any unauthorised access.

4. Acceptable use

• Use the Service only for lawful HR purposes.
• Do not attempt to circumvent role-based access controls.
• Do not upload malicious files or code.
• Do not use the Service to process data of individuals without a valid legal basis.

5. Subscription & billing

Subscriptions are billed monthly or annually per seat. Unused seats are not refunded mid-period. Pricing is shown at kern.app/pricing and may change with 30 days notice. Stripe processes all payments.

6. Data processing

You are the data controller for all HR data you enter into Kern. Kern processes this data as your data processor under the terms of our Data Processing Agreement (DPA), available at kern.app/legal/dpa.

7. Intellectual property

All platform code, design, and content is owned by Kern Technologies GmbH. You retain ownership of your HR data. You grant Kern a limited licence to host and process your data to provide the Service.

8. Limitation of liability

To the maximum extent permitted by law, Kern's total liability for any claim is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential or punitive damages.

9. Termination

Either party may terminate on 30 days notice. We may terminate immediately for material breach. On termination, your data is retained for 30 days then permanently deleted.

10. Governing law

These Terms are governed by German law. Disputes are subject to the exclusive jurisdiction of the courts of Berlin, Germany.
